ARTICLES OF INCORPORATION OF TIFFUN CREEK FEST, INC. The undersigned individual, acting as the incorporator of a nonprofit corporation organized under the Revised Iowa Nonprofit Corporation Act, Chapter 504 et seq. of the Iowa Code, as amended from time to time, does hereby adopt the following Articles of Incorporation (the "Articles"): ARTICLE I CORPORATE NAME The name of the corporation shall be TIFFUN CREEK FEST, INC. (the "Corporation"). ARTICLE II REVISED IOWA NONPROFIT CORPORATION ACT The Corporation hereby acknowledges that it is subject to the provisions of the Revised Iowa Nonprofit Corporation Act, Chapter 504 et. seq. of the Iowa Code as amended from time to time (the "Act"). ARTICLE III CORPORATE PERIOD The corporate period shall be perpetual unless the Corporation is sooner dissolved or terminated as otherwise provided by law. ARTICLE IV REGISTERED OFFICE AND AGENT The address of the Registered Office shall be 1150 5th Street, Suite 170, Coralville, Iowa 52241 and the name of the initial Registered Agent at such address shall be David J. Bright. ARTICLE V PURPOSES AND EXEMPT STATUS 5.01. The Corporation is organized exclusively for charitable, religious, educational, or scientific purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986, as amended (the "Code"). The Corporation will give grants to other organizations that are also formed and operate under Section 501(c)(3) of the Code. 5.02.
