Each Party hereby covenants and warrants that the signatory for such Party has full and complete authority to executed and bind such Party to the terms of this Settlement Agreement and, as appropriate, such Party’s City Council, and/or Trustees, as required, have authorized, approved, and ratified such Party’s execution and delivery of this Settlement Agreement and any other agreement contemplated thereby, and all actions by such Party, its Council, trustees, officers, agents, contractors and employees, performed or required to be performed under this Settlement Agreement or such other agreements. This Settlement Agreement and such other agreements are legal, valid, and binding agreements of such Party enforceable against it in accordance with its terms.
