13. Notice. This Agreement contains the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior understandings regarding such subject matter whether oral or written. This Agreement may not be amended except in a writing that is signed by both Parties. 15. Effective Date. The Agreement will become effective on the date it is last signed by both Parties where indicated below ( the " Effective Date"). 16. Counterparts. This Agreement may be signed in one or more counterparts, each of which will be fully effective as an original and all of which together will constitute one and the same instrument. 17.
