3. No Separate Entity Further, it is hereby noted that no separate legal entity shall be created by this Agreement and the Tiffin City Administrator, the Coralville City Administrator, the North Liberty City Administrator, and the Chair of the Johnson County Board of Supervisors will administer this Agreement. 4. Duties and Responsibilities of the Parties A. North Liberty shall design and let the Project in compliance with Chapter 26 of the Code of Iowa. B. The Project consists of the following: All labor, materials and equipment necessary to construct a Roundabout substantially similar to that depicted on Exhibit A. C. Cities and County will execute any and all permits necessary for the Project, including all permits required by the Iowa Department of Transportation to issue a permit for work in the Iowa Department of Transportation right-of-way necessary to construct the Project. D. Tiffin and North Liberty shall each pay 50% of the total cost of the Project. North Liberty shall be responsible for payment of the Project to any contractor, subcontractor, or engineer. However, within 30 days of receipt of a Project invoice by North Liberty, Tiffin shall pay North Liberty for 50% of the invoiced amount. E. Except for providing permits and cooperating with all parties regarding the Project, County and Coralville shall have no responsibility for any cost of the Project. F. County and Coralville agree that North Liberty may exercise eminent domain within their jurisdictions and pursuant to the provisions of the Code of Iowa for any right of way or easements needed for Project. G. Cities and County agree that all right of way needed for the project shall be conveyed to the appropriate entity within which the land to be conveyed lies. Cities and County agree to accept such right of way dedications or right of way easements for the Project. H. After completion of construction of the Project, North Liberty shall maintain the Project. Maintenance includes but is not limited to mowing, maintaining the surface of the road, and snow removal. Tiffin, Coralville and County shall have no responsibility for any maintenance or maintenance costs of the Project, except for any maintenance costs that are solely due to the negligence of Tiffin, Coralville or County or their officers, employees, or agents.
