K-5 - MOU for Detention Facility - Tiffin, CCA, Homemakers

There will be no cost to CCA for any improvements needed to the Facility. Once all improvements have been completed (“Completion of the Facility”), the City agrees to maintain the Facility. Upon Completion of the Facility, CCA may place a promotional or wall sign near the front of the Facility that will face North Park Road, at a location mutually agreed upon between Tiffin and CCA, that will not interfere with the Facility. 2. Further Agreements and Cooperation Required. The parties agree to work in good faith to execute further agreements regarding the matters stated herein. Such agreements shall include, but are not limited to: (i) specific obligations regarding the shared use of the Facility, which will not conflict with any terms of this MOU, and (ii) all necessary easements, approvals, and surveys for improvements to the Facility, access to the Facility, and maintenance of the Facility. 3. Authorization to Proceed. Upon execution of this MOU by all parties, CCA hereby authorizes Homemakers to immediately begin work at the Facility. This authorization shall effectively provide Homemakers with a license to access the Facility and seek all necessary approvals required for Completion of the Facility. 4. Time is of the Essence. Time is of the essence with respect to each and every term, provision, right, and/or obligation of this MOU. 5. Recitals Incorporated. Each of the Recitals above, is true and correct and is fully incorporated into this MOU by this reference. 6. Counterparts and Facsimiles. This MOU may be executed in multiple facsimile, email, DocuSign (or other electronic signature service), and/or .pdf counterparts, each of which shall be deemed an original, but all of which, together, shall constitute one and the same instrument.
