March 10, 2022 Via Email Doug Boldt City Administrator/City Hall Tiffin, Iowa Re: General Obligation Refunding Loan Agreements Our File No. 436989-37 Dear Doug: We have prepared and attach the necessary proceedings covering the hearings on the General Obligation Loan Agreements (the Loan Agreements) and providing for the adoption of a resolution taking additional action with respect to the Loan Agreements and the future issuance of General Obligation Bonds, Series 2022A (the “Bonds”) at the March 15th City Council meeting. The proceedings attached include the following items: 1. Minutes of the meeting covering the hearings, followed by the resolution taking additional action in connection with the Loan Agreements. This resolution simply sets forth the City Council’s determination to enter into the Loan Agreements in the future, and its adoption constitutes the “additional action” required by the Iowa Code. 2. Attestation Certificate with respect to the validity of the transcript. On March 15th, the City Council should meet as scheduled, hold hearings on its intention to enter into the Loan Agreement and adopt the attached resolution. The minutes as drafted assume that no objections will be filed or made regarding the Essential Purpose Loan Agreement and that no petitions will be filed asking that the question of entering into the Urban Renewal Loan Agreement be submitted to the registered voters of the City. If such a petition is filed with respect to the Urban Renewal Loan Agreement, please contact us right away As soon as possible after the City Council meeting, please return one fully executed copy of these proceedings.
