K-3 - Service Agreement - ECICOG - Downtown Housing Grant Application

SERVICE AGREEMENT Purpose. This SERVICE AGREEMENT is hereby entered into by the CITY OF TIFFIN, IOWA (hereinafter referred to as “the CITY”) and the EAST CENTRAL IOWA COUNCIL OF GOVERNMENTS (hereinafter referred to as the “SERVICE PROVIDER”) for the purpose of contracting with the SERVICE PROVIDER for the preparation and submission of an IEDA Downtown Housing Grant Application (hereinafter referred to as “APPLICATION”) for the City of Tiffin. Application Preparation. The SERVICE PROVIDER shall prepare the APPLICATION to be submitted to the Iowa Economic Development Authority (IEDA) by January 31, 2022 for the purpose of supporting the development of rental housing near the downtown of Tiffin. Terms & Fee. The CITY agrees, by signing this SERVICE AGREEMENT, to have the SERVICE PROVIDER prepare the APPLICATION as described in the Scope of Services and Service Cost Proposal dated December 1, 2021. SERVICE PROVIDER agrees to prepare and submit the APPLICATION at a cost not to exceed $2,100 (two thousand one hundred dollars). Effective Dates. The effective starting date of this SERVICE AGREEMENT shall be December 6, 2021. This SERVICE AGREEMENT represents the entire and integrated agreement between the CITY and the SERVICE PROVIDER and supersedes all prior negotiations, representations, or agreements, either written or oral. This SERVICE AGREEMENT may be amended only by written instrument signed by both the CITY and the SERVICE PROVIDER.
