10. Non-Renewal by Tiffin. If Tiffin sends a notice at any point stating that it wants the agreement to end (whether at the end of the regular term, before the end, or after extension or extensions) then Tiffin must buy the building from JCEMC. The only way Tiffin would not have to buy the building is if the Commission tells Tiffin that JCEMC is going to move the building and remove it from this parcel. The Commission can remove its building from this parcel at any time if it elects to do so; and, if it chooses to move the building, then Commission would pay the cost to move it. ☐ If the parties don’t agree on the price, then the parties must get it professionally appraised. ☐ If the parties are not able to agree on an appraiser, then Tiffin has to pay for 2 appraisers but each party gets to pick 1; and the final value or price of the building to be paid by Tiffin is the average of the 2 appraisals. ☐ In the alternative, Tiffin could also pay the cost to move the building if the Commission wants to move it and has a place for it. 11. Binding on Successors. This Agreement shall be binding on the parties and their respective successors in interest, transferees and assigns.
